Licence Agreement and Guidline for Photograph(s) use
In this Agreement: “you” or the “Client” means you or, if you are accepting on behalf of your employer or member account entity, then “you” means that employer or entity and “we” means INNAJA, operator of the Site. “Content” and Photograph(s) means any photographic image that you are downloading and/or licensing from the innaja.org website.
1. GUIDELINE TO THE USE OF PHOTO OBJECTS AND PHOTOGRAPHIC IMAGES NAMED IN THE FOLLOWING TEXT AS PHOTOGRAPH(S):
a) INNAJA will not permit reproduction for advertising or promotional purposes.
b) Permission is granted for usage in book or periodical Publications in analog format only but granted for all languages of the Publication. INNAJA usually does not grant permission for publication on other websites. If you intend to use images from INNAJA on your website you must request a special digital Web-Publishing- Permission from INNAJA.
c) Each Image must be reproduced absolutely unaltered and in its entirety unless approved in writing by INNAJA. The reproduction may not be cropped, bled off the page, guttered across facing pages, or printed on colored stock or with colored ink, nor may anything be superimposed on the Image. When a detail is used, the word "detail" must appear in the credit line.
d) The reproduction permission granted is always limited to a nonexclusive reproduction license and limited to one publication. INNAJA retains all copyright ownership and all rights to exploit its copyrights. The copyright and all other rights to the Photograph(s) shall remain with INNAJA.
e) Upon order, your agreement to the Terms of Use above is applied.
2. YOU MAY NOT:
a) use an Photograph(s) or make copies of it except as permitted in this License.
b) resell, sublicense or otherwise make available the Photograph(s) and/or sell it to others for consumption, reproduction, re-sale or other distribution.
c) create scandalous, obscene, defamatory or immoral works using the Photograph(s) nor use the Photograph(s) for any other purpose which is prohibited by law.
3. TERM:
a) This license shall remain in effect only for so long as you are in compliance with the terms and conditions of this agreement. This license will terminate if you fail to comply with any of its terms or conditions. You agree, upon termination, to destroy all copies of the Photographs. The Limitations of Warranties and Liability set out below shall continue in force even after any termination.
b) The receiving party agrees to be bound by the terms and conditions of this License; use any Photograph(s) except as expressly permitted by this License. Any Photograph(s) released to you by INNAJA are automatically, without any further written agreement and contract, subject to the above License Agreement and to the general Terms and Conditions listed on the INNAJA website.
4. LIMITATION OF WARRANTIES AND LIABILITY:
EXCEPT FOR THE EXPRESS WARRANTY ABOVE , THE PHOTOGRAPH IS PROVIDED ON AN "AS IS" BASIS, WITHOUT ANY OTHER WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABLE QUALITY, SATISFACTORY QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THOSE ARISING BY LAW, STATUTE, USAGE OF TRADE, COURSE OF DEALING OR OTHERWISE. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE PRODUCT IS ASSUMED BY YOU. NEITHER WE NOR OUR DEALERS OR SUPPLIERS SHALL HAVE ANY LIABILITY TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUE OR PROFIT, LOST OR DAMAGED DATA OR OTHER COMMERCIAL OR ECONOMIC LOSS, EVEN if WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR THEY ARE FORESEEABLE. WE ARE ALSO NOT RESPONSIBLE FOR CLAIMS BY A THIRD PARTY. OUR MAXIMUM AGGREGATE LIABILITY TO YOU AND THAT OF OUR DEALERS AND SUPPLIERS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PHOTOGRAPH. THE LIMITATIONS IN THIS SECTION SHALL APPLY WHETHER OR NOT THE ALLEGED BREACH OR DEFAULT IS A BREACH OF A FUNDAMENTAL CONDITION OR TERM OR A FUNDAMENTAL BREACH. SOME STATES/COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
5. ACKNOWLEDGEMENT:
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND HAD AN OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE PRIOR TO AGREEING TO IT. IN CONSIDERATION OF INNAJA AGREEING TO PROVIDE THE CONTENT, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND INNAJA, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND INNAJA RELATING TO THE SUBJECT OF THIS AGREEMENT.

YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND INNAJA, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND INNAJA RELATING TO THE SUBJECT OF THIS AGREEMENT.
